PROJECT AGREEMENT

GENERAL TERMS AND CONDITIONS

Working with us and/or making payment constitutes agreement with these general terms. Please add your signature below. Thank you.

AGREEMENT: This estimate constitutes the entire agreement between Sunshine Synchronicities LLC, doing business as Eco Gardens By Rebecca ("Company") and Customer and may be modified only in writing and signed or initialed by both parties. Unless otherwise specified, the laws of the State of Colorado shall govern this Agreement. Addendums to the Proposal may modify the applicability of these standard terms and conditions. To the extent of any conflict, the Proposal shall control.

CUSTOMER: Unless otherwise agreed to in writing, the "Customer" is the person to whom the Proposal is addressed, along with his/her employer or agent if it is included as part of the Customer's address. This Customer warrants his/her authority to contract with the Company.

SCOPE OF SERVICES: Eco Gardens By Rebecca is a landscape design company. This may include, but is not limited to, concept design, 2D digital rendering, plant list, planting plan, hardscape layout, general maintenance plan. All recommendations, suggestions, and advice provided by the Designer are professional opinions only and are not guaranteed to produce any specific result or outcome. The client understands that the designer is not a licensed professional in [e.g., botany/engineering] and accepts all suggestions at their own risk. The Designer is not liable for any outcomes based on these recommendations. Services do not include landscape architecture, engineering, building, construction, sourcing, labor, or supervision.

CLIENT CHANGES (SCOPE CREEP): The initial estimate includes up to 3 rounds of revisions during our Design Review Meets. Additional design revisions or changes to the project scope requested after approval or exceeding these rounds will be billed at our standard hourly rate of $150/hr or handled via a written addendum.

COMPLETION & DESIGN SESSIONS: Eco Gardens By Rebecca agrees to do its best to communicate between all parties with regard to the project deliverables, recommendations, schedule, general scope, or any additional supportive information.

Design Review Meets offer 2-3 sessions, usually over a period of 2-8 weeks for a typical homeowner property, or more depending on the size of the project. If the project timeline exceeds this window for any reason, a written extension must be mutually agreed to by both parties in writing. Notwithstanding any extensions, the final completion date for any extensions during the annual season in which the design was started is either 6 months from the start date up until and completing on October 30th of that year. After this date, the client forfeits the season's schedule of availability to continue with or complete the design, regardless of the percentage completed from their initial payment, and a refund is not available, unless a written addendum is agreed to and signed by both parties before this time that offers a custom completion scenario and dates. In general, design services continue throughout all seasons in a timely fashion and winter is an ideal time for engaging the design phase.

We reserve the right to reconfigure any information presented, to reschedule or cancel any meeting, session, or service for any reason or other unforeseeable circumstance. Eco Gardens By Rebecca shall not be liable in damages or otherwise for delays or failure to perform its obligations under this Agreement to the extent the delays or failures result from health or scheduling conflicts or force majeure, aka causes beyond reasonable control of the party, including, but not limited to: inclement weather, labor, default of subcontractors or suppliers, acts of God or public enemy, epidemic, pandemic, or any other cause beyond its control; nor shall the Customer be relieved of completion for delays.

CLIENT AGREEMENT: WORKING MODELS & TERMS OF SERVICE
We offer two flexible ways to bring your garden vision to life, depending on how involved you want to be in managing the construction and maintenance phases. Please review the options below:

OPTION A: INDEPENDENT CONTRACTOR & THIRD-PARTY REFERRAL MODEL
Best for homeowners who prefer to manage their own installation or hire separate contractors directly.
1. Independent Scope: Eco Gardens By Rebecca acts strictly as an independent landscape design firm and contracts directly with the Client for design services only.

2. Referrals, Coordination & Independent Estimates: We are happy to refer trusted, independent local specialists (such as installers, stone masons, or irrigation technicians) and collaborate with them to align project schedules. However, any referred contractor is a completely separate legal entity. Each referred specialist operates independently and will schedule their own on-site walkthrough to assess the scope and provide a separate, standalone estimate directly to you.

3. Direct Contracts & Liability Release: Client will enter into separate, direct agreements and make payments individually to each service provider. Eco Gardens By Rebecca is not responsible or liable for the performance, acts, omissions, pricing, quality, or timing of any independent installer or contractor, and client hereby releases Designer from any liability related to the installation, irrigation, maintenance, or other service provision process.

Specialist Subcontracting: Client acknowledges that independent contractors may hire specialized third parties to complete necessary steps. This may include, but is not limited to, installation, heavy excavation, specific material delivery, maintenance, irrigation, architectural or structural renderings, city permits, delivery, disposal, or any work other than design. Any schedule or cost adjustments resulting from third-party work will be managed between the Client and that contractor. All parties acknowledge that any additional contractor participation may be assessed and included at any point in the schedule or project arc by mutual agreement, and that it may change the schedule and estimate accordingly in ways either known or unknown. All parties heretofore agree to work toward completion to the best of their ability and schedule without liability.

OPTION B: TURNKEY PARTNERSHIP ALLIANCE MODEL (LOCAL LAND COLLECTIVE LLC)
Best for busy homeowners who want a seamless, hands-off experience from design through full build and ongoing care.

1. Full-Service Alliance & Dedicated Point of Contact: For homeowners who want a single, hassle-free process, you can select our Local Land Collective LLC package upfront. This brings our collaborative team of vetted, local specialists—design, installation, and ongoing horticultural care—under one unified agreement. You get the warmth and detail of a dedicated lead designer with the power of a full-service team, receiving one consolidated proposal, one main point of contact, and a single invoice schedule for the entire project arc.

2. Seamless On-Site Estimates: While our alliance provides one consolidated master proposal and invoice schedule, each specialized LLC (Design, Install, Maintenance) will still schedule their own distinct on-site assessment to accurately measure and detail their portion of the work. We coordinate these visits behind the scenes to keep the process completely effortless for you.

3. Seamless Transition & Peace of Mind: Selecting this option upfront ensures that as soon as your design phase is complete, your project transitions immediately into the build and maintenance schedule without you having to vet contractors, gather outside bids, or manage handoffs.

4. Master Insurance & Vetted Quality: All work performed under Local Land Collective LLC is backed by our integrated master policy framework and strict quality standards, giving your home and family complete protection throughout the project.

PAYMENTS: This is an estimate only, and actual prices may vary. Projects $2500 and under require payment in full up front; projects above $2500 require an initial 50%, unless otherwise agreed. We accept cash, venmo, paypal, check, or credit either up front, at time of service, or within 10 business days of an invoice. Please make checks payable to Eco Gardens By Rebecca or Rebecca Carlson. Online payments such as paypal or credit will include a minimum processing fee of .3% Thank you.

Suggested payment schedule for flat rate services above $2500 covers 2 Payments, one at project initiation and one at completion, including any additional required services and/or services agreed upon during work performed, addended to current estimate. Suggested payment schedule for retainers are at the discretion of Eco Gardens By Rebecca. Payments received after 10 days will result in a $25-50 late fee, and/or a $35 fee for returned checks. A finance charge of 2% per month will be assessed if payment is received after 30 days from the date a service is completed. In the event of any nonpayment by the Customer hereunder, Eco Gardens By Rebecca and/or service specialists may suspend further performance immediately under this Agreement. Designs unpaid in full cannot be used. Thank you.

SCHEDULING: We reserve the right to reschedule or cancel any service for any reason or other unforeseeable circumstance.

SERVICE SPECIALISTS: If your project requires a solution that needs a separate service specialist we are happy to refer you.

INSURANCE: Eco Gardens By Rebecca carries required coverage for Professional Liability Insurance of design services, including errors or omissions as well as for General Liability. Certificates of coverage are available upon request.

CLIENT RESPONSIBILITIES, SITE READINESS & COMMUNICATION TIMELINES: Pursuant to construction reform acts, the Company, landscape designer, has the right to a reasonable opportunity to repair or mitigate any alleged defects before the Client can decide to seek a legal filing or engage another contractor.
Client agrees to provide safe, unobstructed physical access to the property for all scheduled on-site sessions, including securing pets and unlocking gates. Furthermore, to keep project schedules synced and moving forward smoothly, the Client is required to acknowledge receipt of each design update within 5–7 days of it being sent, provide their consolidated feedback within 2 weeks of receipt, and actively collaborate with the Designer to schedule the next review session.

Client is required to provide to the Company, or landscape designer, all relevant information or rules that will assist the design to adhere to local city ordinances, zoning laws, hoa guidelines, or other requirements in a suitable timeframe for design to take them into account within the agreed upon project communication timeframe and/or project schedule.

GENERAL AND PROFESSIONAL INDEMNITY: Customer shall indemnify, defend, and hold Eco Gardens By Rebecca and/or Sunshine Synchronicities LLC, and its current and future direct and indirect parent company(ies), subsidiaries, affiliates, and their respective directors, officers, shareholders, employees, agents, representatives, successors, and assigns, including Rebecca Carlson, (collectively “Indemnitees”) harmless for, from, and against any and all claims, actions, suits, or proceedings of any kind whatsoever (collectively, “Claims”), and any and all losses, liabilities, penalties, fines, damages, demands, costs, or expenses, including all reasonable consulting or attorneys’ fees (including fees and disbursement of in-house and outside counsel) of any kind whatsoever (collectively, “Liabilities”) arising out of, connected in any manner with, or resulting from, but not limited to: injuries to or death of any individuals (including members of the general public, or any employee, agent, independent contractor, consultant, or affiliate of either Company or Customer) or damage to, loss, or destruction of property (including any property of Company). Notwithstanding the foregoing, the foregoing indemnification obligations will not apply to the extent Claims or Liabilities are caused by the sole negligence or willful misconduct of Company.

LIMITATION AND LIABILITY: Company, aka the designer is not responsible for the following: damage to unmarked or incorrectly marked underground utilities, irrigation lines or pipes, or unforeseen subsurface soil, water, or other elemental or potentially hazardous conditions. The Client acknowledges client's own responsibility for identifying property lines, obtaining necessary permits within required schedule, which often requires a site survey before work begins. Client protects, defends, and holds Company, and landscape designer, harmless from any claim that may arise from the project at any time, particularly if the client forces design choices against the designer's professional advice, or should Client communication be such that confirmation is unavailable when required by project schedule.

TERMINATION: Should schedules or other influences shift the availability of either party to complete the agreement, either party can request a mutual agreement to reschedule, or if needed can cancel the agreement within 30 days with written notice. Company, landscape designer, will send an updated estimate and be compensated for work completed up to that date. Thank you.

SEVERABILITY: It is understood and agreed by the parties hereto that, if any part, term, condition or provision of this Agreement is held by the courts to be illegal or in conflict with any law or statute of the State of Colorado, then the validity of the remaining portions or provisions shall not be affected, and the rights and obligations of the parties shall be construed and enforced as if this Agreement did not contain the particular part, term, condition, or provision so held to be invalid. This written contract supersedes all prior verbal or written discussions.

DISPUTE RESOLUTION: If for some reason you are not happy with the services provided by Company, Customer and Company will engage in good faith communications to resolve the concerns. Company will follow the following process: 1) We will set up a meeting with you and your Company representative or designer to go over your concerns. 2) Your Company representative or designer will make note of your concern(s) and discuss resolution options. Should good faith communications fail to resolve any conflicts that may arise related to the goods and services provided by Company hereunder, the Customer and Company agree that all disputes shall be submitted to non-binding mediation, unless the parties mutually agree otherwise in writing. Non-binding mediation shall be completed within 90 days from the date such dispute arises. In the event that mediation is unsuccessful, such disputes shall be submitted to a court of competent jurisdiction in Boulder County, Colorado, which shall be the appropriate jurisdiction and venue for any and all claims or disputes arising out of this Agreement.

ACTIONABLE EXPENSES: In any action brought by either party to enforce any of the terms of this Agreement, the prevailing party in such action shall be entitled to reimbursement by the non-prevailing party of all costs, out-of-pocket expenses, and such reasonable attorney’s fees, not to exceed the general amount originally estimated or agreed, as the court shall determine just. The Client also agrees to pay all collections costs, including, without limitation, any legal fees and expenses incurred in connection with the collection of a past due account.

ASSIGNABILITY: Mutual consent between both Company and Client will be required to assign rights, duties, and obligations under this Agreement, unless the Company decides to sell in entirety or is acquired. The individual representing the Client, the person who is mutually agreed or delegated to be the "point person" responsible for agreed upon and actionable communications, responsibilities and payments between Company and Client, will obtain mutual consent if delegation to a third party should require a change of "point person" or role responsibilities. The design will not be transferrable without mutual consent. Should the Client or Property become restricted or unsuitable to complete the agreement within a suitable timeframe as determined by Company or by independent contractors mutually yet separately working on a project, or should communication between or among parties become less than what is deemed required to provide adequate service or deliverables, an updated mutual agreement or addendum will be rewritten to support the new requirements, or completion, or project closure with mutual agreement of both parties.
ADDENDUMS: This Agreement may be executed and delivered with addendums or counterparts, each of which shall be deemed to be a duplicate original hereof, but all of which shall constitute one and the same document. Signatures transmitted by facsimile or electronically shall be treated and accepted as original signatures.

This proposal, and any project related collateral, documents, communications, concepts, and deliverables, including any and all design versions at any stage, and the final design(s) produced for the purposes of this project are for the exclusive use of Client, upon full payment or schedule as set forth above, for the purpose of evaluating and or agreeing to our services for the proposed project, and a limited, non-exclusive license is granted to use and reproduce conceptual imagery or deliverables solely for the purpose of visualizing and maintaining the specific project for this Agreement. This license does not include the right to reproduce, adapt, or use the designs for other projects, marketing, or any other purpose without the prior written consent of the Service Provider. Unauthorized use, reproduction, or distribution is strictly prohibited.

INTELLECTUAL PROPERTY RIGHTS: Ownership of Design Documents: All designs, drawings, specifications, and other documents prepared by the Company, or landscape designer, aka Rebecca Carlson, in connection with this project are considered instruments of service and remain the intellectual property of the landscape designer.

License to Use: Upon full payment or schedule as set forth above, the client is granted a limited, non-exclusive license to use and reproduce these design documents solely for the purpose of constructing and maintaining this specific project. This license does not include the right to reproduce, adapt, or use the designs for other projects, marketing, or any other purpose without the prior written consent of the landscape designer.
